Black Friday & Cyber Monday Promotions

A. Compete Software Promotions (Free Year / Fee Waiver Offer)

Black Friday/Cyber Monday Compete Promotions (“Compete Promotions”) are available only to new Compete software customers who (a) execute Jonas Fitness’ standard Compete software subscription agreement with a minimum twenty-four (24) month term and (b) execute a payment processing agreement with Jonas Fitness and/or its designated payment processing partner between November 17, 2025 and December 31, 2025. Customer must complete onboarding and go live with Compete and payment processing for each participating location by the go-live date agreed in writing with Jonas Fitness.

Eligibility for the Compete Promotions is based on Jonas Fitness’ prequalification review of each participating location’s historical and/or projected payment processing volume. Only locations that Jonas Fitness determines, in its sole discretion, are reasonably expected to process at least three million dollars (US $3,000,000) in card payments annually (“Prequalification Threshold”) will be approved for the “Free Year” promotion. Locations that do not meet the Prequalification Threshold may instead be eligible, at Jonas Fitness’ discretion, for an alternate fee waiver promotion as described below. There is no maximum number of locations that may participate, as long as each location independently meets the applicable prequalification criteria and is approved by Jonas Fitness.

1. Free Year Promotion

For each approved location that meets the Prequalification Threshold, Jonas Fitness will waive standard Compete software subscription license fees for up to twelve (12) consecutive months beginning on that location’s Compete go-live date (“Promotional Period”). The waiver applies only to base Compete software license fees for the participating location and does not include implementation fees, data conversion, training, custom development, integrations, mobile apps, member billing services, hardware, premium support packages, merchant processing fees, gateway fees, card network fees, PCI fees, chargebacks, taxes, or any other non-license costs, all of which remain the responsibility of the customer.

Once a location is approved and enrolled in the Free Year promotion, the Free Year benefit for that location will not be revoked or reduced solely because the actual annual processing volume for that location falls below the Prequalification Threshold, provided that (i) the customer remains in compliance with all other terms of its agreements with Jonas Fitness and the designated processor and (ii) the customer continues to route payment transactions for that location through the designated processor. Following the Promotional Period, standard Compete software subscription fees will apply for the remainder of the customer’s subscription term in accordance with the applicable agreement.

2. Fee Waiver Offer (Up to US $4,000 Savings)

For participating locations that are not approved for the Free Year promotion, Jonas Fitness may, in its discretion, offer an alternate promotion that provides savings of up to four thousand dollars (US $4,000) in the customer’s first year through the waiver of eligible conversion, training, and setup fees (“Fee Waiver Offer”). The specific fees waived and the amount of savings (up to US $4,000 in total) will be outlined in the customer’s order form or agreement. The Fee Waiver Offer does not apply to Compete software license fees, merchant processing fees, hardware, integrations, mobile apps, member billing services, ongoing support packages, taxes, or any other fees not expressly identified as waived in the customer’s agreement, all of which remain the responsibility of the customer.

3. General Conditions – Compete Promotions

For both the Free Year promotion and the Fee Waiver Offer, the customer must route all eligible card transactions for each participating location exclusively through Jonas Fitness’ designated payment processor for at least the duration of the applicable promotional benefit for that location. If the customer (i) terminates the Compete software subscription or payment processing agreement prior to the end of the minimum contract term, (ii) ceases or substantially reduces processing with the designated processor in favor of another provider for a participating location, or (iii) otherwise materially breaches the applicable agreements, Jonas Fitness may discontinue any remaining promotional benefits for the affected location or locations and begin charging standard Compete software subscription fees and/or standard service fees on a go-forward basis in accordance with the applicable agreement or agreements.

Customers may receive either the Free Year promotion or the Fee Waiver Offer for a given location, but not both. Compete Promotions may not be combined with any other offers, credits, or discounts, are non-transferable, and have no cash value. Offers are void where prohibited by law. Jonas Fitness reserves the right to interpret these terms and to modify, suspend, or cancel the Compete Promotions at any time without prior notice.

B. Member Billing Services (MBS) – 3 Free Months Promotion

The Black Friday/Cyber Monday MBS promotion (“MBS Promotion”) is available only to new Member Billing Services (“MBS”) customers who sign a minimum twelve (12) month MBS service agreement with Jonas Fitness between November 17, 2025 and December 31, 2025. To qualify for the “3 Free Months” promotion, customer must pay standard MBS fees for the first full month of service. After the first paid month, Jonas Fitness will waive base MBS service fees for up to three (3) consecutive months for the participating location.

Free months apply only to standard MBS service fees and do not include merchant processing fees, card brand and network fees, chargebacks, hardware, outbound postage, third-party costs, taxes, or any other pass-through or non-service charges, all of which remain the responsibility of the customer. Following the three free months, standard MBS service fees will apply for the remainder of the term in accordance with the customer’s MBS agreement.

If the customer terminates MBS service before the end of the twelve (12) month term, ceases to route eligible billing through MBS, or is otherwise in material breach of its agreement, Jonas Fitness may discontinue promotional pricing on a go-forward basis in accordance with the agreement. The MBS Promotion may not be combined with any other promotion, discount, or offer, is non-transferable, and has no cash value. Offer is void where prohibited by law. Jonas Fitness reserves the right to interpret these terms and to modify or cancel the MBS Promotion at any time without prior notice.

(Where applicable, a substantially similar “3 Free Months” promotion for IVR (Interactive Voice Response) services may apply to base IVR service fees with a separate twelve (12) month IVR commitment and one initial paid month before the three free months begin, as specified in the customer’s agreement.)

C. Compete Add-ons – One Month Free Promotion (Compete Member App, JoinOnline, Empower ME)

The Black Friday/Cyber Monday add-on promotion (“Add-on Promotion”) is available only to new customers of the Compete Member App (“Member App”), JoinOnline (“JOL”), and Empower ME (“EME”) services who execute a standard service agreement for the applicable add-on with Jonas Fitness between November 17, 2025 and December 31, 2025. To qualify for the “One Month Free” promotion for a given add-on service and location, customer must pay standard subscription/license fees for the first full month of that add-on service. After the first paid month, Jonas Fitness will waive standard subscription/license fees for one (1) additional consecutive month for the same add-on service and location (i.e., buy one month of service, receive the second month at no subscription charge).

The free month applies only to base subscription/license fees for the applicable add-on (Member App, JOL, or EME) and does not include implementation, design or configuration services, data conversion, app store fees, SMS or messaging fees, payment gateway or merchant processing fees, third-party services, hardware, taxes, or any other non-subscription charges, all of which remain the responsibility of the customer. Following the free month, standard subscription/license fees for the applicable add-on will apply in accordance with the customer’s agreement.

If the customer terminates the applicable add-on service early, ceases to use it in accordance with the agreement, or is otherwise in material breach of its agreement, Jonas Fitness may discontinue any remaining promotional benefits for that add-on on a go-forward basis. The Add-on Promotion may be applied separately to Member App, JOL, and EME where eligible, but may not be combined or stacked with any other promotion, discount, or offer for the same add-on service and location. The Add-on Promotion is non-transferable and has no cash value. Offer is void where prohibited by law. Jonas Fitness reserves the right to interpret these terms and to modify or cancel the Add-on Promotion at any time without prior notice.
