Compete Customer Referral Program Terms and Conditions

1. Overview

The Compete Customer Referral Program (the “Program”) rewards current Jonas Fitness customers for referring new business to Jonas Fitness, Inc. (“Jonas Fitness,” “we,” “us”). When a business you refer becomes a qualifying Jonas Fitness customer, you receive a one-month waiver of your Compete® SaaS subscription fee, applied to a future statement.

2. Definitions

• Referring Customer: A current Jonas Fitness customer who refers new business under this Program and whose account is active and in good standing.
• Referred Party: The business or facility named in a referral that is not already a Jonas Fitness customer at the time of the referral, subject to Section 7.
• SaaS / Subscription: The recurring monthly software subscription fee for the Compete® member management platform.
• Payment Processing: Jonas Fitness integrated payment processing services.
• Referral Reward: A one-month waiver of Compete® SaaS subscription fees, as described in Section 5.

3. Who Can Participate

Any current Jonas Fitness customer whose account is active and in good standing (current on all invoices and not in breach of its agreement) may participate as a Referring Customer. There is no limit on the number of referrals a customer may submit. The conditions in Section 6 apply to each referral.

4. How to Refer

The recommended way to refer is to complete the referral form on the Program landing page, before the Referred Party enters into an agreement with Jonas Fitness.

Referrals made by other means, such as email or word of mouth, will also be accepted, provided the referral is identified to Jonas Fitness at the time the Referred Party signs its agreement. To be eligible, a referral must identify both the Referring Customer and the Referred Party, and the referral relationship must be on record with Jonas Fitness no later than the point of signing.

5. The Reward

5a. Reward to the Referring Customer. A qualifying referral earns the Referring Customer a waiver of one month of SaaS fees, subject to the following:

• The waiver is applied to a future statement after the reward is earned. Jonas Fitness will apply the waiver as soon as practicable, which may take one or more billing cycles. The waiver is not paid in cash, has no cash value, and is not transferable (see Section 9).
• The waiver is limited to one location. If the Referring Customer operates multiple locations, the waiver applies to the location with the single highest monthly SaaS fee. The Program does not waive SaaS fees across an entire multi-location or enterprise account.
• The reward is earned once the Referred Party has:
  1. executed an agreement with Jonas Fitness,
  2. completed implementation (if applicable), and
  3. paid its first three (3) monthly invoices.

5b. Reward to the Referred Party. The Referred Party also receives a waiver of one month of SaaS fees, applied to a future statement after it meets the same conditions set out in Section 5a (executed agreement, implementation completed if applicable, and first three monthly invoices paid). As with Section 5a, the waiver may take one or more billing cycles to apply.

6. Conditions for a Qualifying Referral

For a referral to qualify for a Referral Reward, all of the following must be met:

1. New agreement within 180 days. The Referred Party must execute an agreement with Jonas Fitness within one hundred eighty (180) days of the date of the referral.
2. Both SaaS and Payment Processing. The Referred Party must sign an agreement that includes both the Compete® SaaS subscription and Jonas Fitness payment processing.
3. Referring Customer in good standing. The Referring Customer’s account must be active and in good standing at the time the reward would be issued.

7. Jonas Fitness Discretion and Reward Determination

Jonas Fitness reserves the right to approve, decline, or adjust any Referral Reward in its sole discretion. This includes, without limitation, situations where the Referred Party was already an active prospect, an existing customer, or already engaged in an active sales process with Jonas Fitness at the time of the referral. Jonas Fitness will review these situations on a case-by-case basis. A referral that overlaps with an existing opportunity is not automatically disqualified, but a reward is not guaranteed.

8. Self-Referral and Affiliate Exclusion

Customers may not refer themselves, affiliated entities under common ownership, or additional locations they own or control. The Program is intended to reward referrals of independent new business.

9. No Cash Value

Referral Rewards are provided solely as a waiver of SaaS subscription fees applied to a statement. Rewards have no cash value, are not transferable, and are not redeemable for cash.

10. Program Changes and Termination

Jonas Fitness reserves the right to modify, suspend, or terminate this Program at any time, including if abuse of the Program becomes an issue. Changes will not affect Referral Rewards already earned prior to the change.

11. General

• The Program is available to Jonas Fitness customers within Jonas Fitness’ operating territories.
• Referral Rewards may have tax implications for the recipient; customers are responsible for any applicable taxes.
• Participation constitutes acceptance of these Terms and Conditions.
• These Terms are governed by the laws of the State of Texas.
